1. Agreement to Terms

By accessing or using the eSignBase service (“Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not access or use the Service.

2. The Service

The Service provides a cloud-based electronic signature platform that allows users to sign, send, and manage documents electronically.

3. Access Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable right to access and use the Service for your internal business purposes.

4. Your Responsibilities

You agree not to:

  1. Use the Service for any illegal or unauthorized purpose.
  2. Modify, reverse engineer, or create derivative works of the Service.
  3. Upload any content that is unlawful, harmful, or infringes on any third-party rights.
  4. Share your login credentials or allow unauthorized access to the Service.

You are solely responsible for the content of the documents you process through the Service.

5. Fees and Payment

5.1 Credit Purchase. The Service operates on a credit-based system. Users must purchase credits (“Credits”) in advance to access certain features, primarily the initiation of document signing procedures (“Signing Procedures”). One (1) Credit is consumed for each Signing Procedure initiated, regardless of the number of signatories or the final outcome (e.g., whether the document is successfully signed or expires).

5.2 No Refunds. All Credit purchases are final and non-refundable, except as required by applicable law. By purchasing Credits, you acknowledge and agree that you are purchasing a finite, consumable digital product and are not entitled to a refund for unused Credits.

5.3 Account Termination and Credits. Upon termination of your account for any reason, any remaining Credits in your account will be forfeited immediately without any entitlement to a refund or other compensation.

5.4 Service Suspension for Non-Payment. Your access to initiate new Signing Procedures is contingent upon having a positive Credit balance. If your Credit balance is zero, you will be unable to initiate new Signing Procedures until you purchase additional Credits.

5.5 Changes to Credit System. We reserve the right, at our sole discretion, to change the pricing of Credit packs, the features that consume Credits, or the number of Credits required per feature. We will provide you with prior notice of any such changes that adversely affect your existing Credits.

6. Intellectual Property

We own all rights, title, and interest in the Service and its software. You retain all rights to your data and documents. You grant us a worldwide license to use your data solely to operate and provide the Service.

7. Disclaimer and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND. To the fullest extent permitted by law, our total liability to you for any claim is limited to the amount you paid us to use the service in the six (6) months before the claim arose. We are not liable for any indirect, consequential, or incidental damages.

8. Termination

We may suspend or terminate your access to the Service immediately for any violation of these Terms. Upon termination, your right to use the Service will cease immediately.

9. Governing Law

These Terms are governed by the laws of your State/Country, without regard to its conflict of laws principles.
